M2 Media Content Equity Act

1. Introduction & Purpose

M2 Media & Marketing LLC (disclosed as MII Media & Marketing, including affiliated entities M2.ai and The Marketing Co.) believes that all content created in the process of marketing, collaboration, or creative servicing is a shared product of effort.

This Content Access & Usage Policy (“Policy”) establishes how ownership, rights, and responsibilities are defined between:

  • M2 Media & Marketing (and affiliated brands),

  • Clients (businesses and individuals engaging services), and

  • Contractors or Partners (freelancers, subcontractors, technology vendors, and affiliates).

Our philosophy is simple: content belongs to everyone who helps create it and should be used to build, not tear down.

2. Scope of Coverage

This Policy applies to:

  • Content created directly by M2, M2.ai, or The Marketing Co. on behalf of a Client.

  • Content created in collaboration with contractors or third-party partners under M2’s direction.

  • Content created jointly between M2 and a Client (photoshoots, co-written blogs, ad creatives, campaign assets).

  • Content outputs generated by M2.ai.

Excluded: Materials provided solely by the Client (e.g., preexisting brand assets, logos, or third-party materials licensed separately).

3. Joint Ownership Doctrine

Unless explicitly negotiated otherwise:

  • Co-Ownership Principle: All content created in the course of engagement is jointly owned by M2 and the Client.

  • Equal Rights: Both M2 and the Client may use the content for positive, non-defamatory business purposes without restriction.

  • Contractors: Work created by contractors under M2’s management is considered part of this co-ownership doctrine. Contractors do not retain exclusive ownership but may use samples for portfolios with approval.

4. Acceptable Uses of Content

Content may be used freely by both M2 and the Client for:

  • Marketing and promotional campaigns.

  • Social media, website content, advertising, and sales materials.

  • Educational presentations, case studies, and speaking engagements.

  • Inclusion in M2.ai or The Marketing Co. service examples, provided Client identifiers are anonymized when necessary.

  • Internal training and process documentation.

5. Unacceptable Uses of Content

The following uses are strictly prohibited:

  • Defamation: Using content to harm the reputation of M2, its affiliates, Clients, or Contractors.

  • Misrepresentation: Altering content in a way that falsely represents data, campaign results, or brand identity.

  • Illegal/Unethical Activities: Deploying content for fraudulent, harmful, or discriminatory purposes.

  • Unauthorized Exclusivity: Attempting to restrict the rightful co-owner from using content for legitimate purposes without written agreement.

Violations of these restrictions may result in legal action and damages claims.

6. Superseding Effect

This Policy supersedes and overrides any prior or conflicting agreements that claim sole ownership of content, unless such ownership rights were explicitly negotiated and signed in a separate, specific agreement.

This ensures fair and equal access across all parties involved in content creation.

7. Administrative Rights

While ownership is joint:

  • M2 Administrative Access: M2 retains administrative rights to host, distribute, and store creative content across its platforms (e.g., Google Drive, client portals, M2.ai, The Marketing Co.).

  • No Exclusivity: These rights are for management purposes only and do not limit the Client’s equal rights to use, download, or share content.

  • Technology Platforms: If content is distributed via M2.ai or The Marketing Co., usage is subject to the general Terms of Service and Privacy Policy of those platforms.

8. Enforcement & Remedies

  • Positive-Use Clause: Any content used in a manner deemed harmful, defamatory, or abusive toward M2, its affiliates, or Clients will be considered a breach of this Policy.

  • Legal Recourse: Breaches may result in legal action, termination of contracts, and financial liability for damages.

  • Dispute Resolution: Conflicts arising under this Policy will be subject to the dispute resolution and governing law provisions outlined in the Terms of Service.

9. Examples

Acceptable Uses:

  • A Client reposts a video ad campaign on LinkedIn to highlight their product launch.

  • M2 includes that same video in its agency portfolio to showcase creative capabilities.

  • A contractor uses a screenshot of the final ad (with permission) in their personal portfolio.

Unacceptable Uses:

  • A Client edits the campaign to insert disparaging remarks about competitors, damaging reputations.

  • A contractor attempts to resell M2’s campaign assets as their own independent product.

  • A third party uses M2.ai outputs to publish harmful or offensive content.

10. Governing Law & Jurisdiction

This Policy is governed by the laws of the State of Nevada, with exclusive jurisdiction in Clark County.
