Terms of Service

1. Definitions & Entities Covered

M2 Media & Marketing LLC (MII Media & Marketing) – A Nevada-registered limited liability company providing digital marketing, creative strategy, and brand development services.

  • M2.ai – Proprietary artificial intelligence software and tools developed, owned, and operated by M2, designed for marketing automation, copy generation, analytics, and campaign optimization.

  • The Marketing Co. – An affiliated brand operated under M2, focused on direct-to-consumer marketing, service purchasing, and industry education.

  • Client – Any individual, business, organization, or authorized agent who enters into a contractual, subscription-based, or transactional agreement with M2 or its affiliates.

  • Contractor / Partner – Any individual or organization engaged by M2 to fulfill work for Clients, including freelancers, subcontractors, and technology vendors.

  • Deliverables – Any creative content, campaign assets, data, or reports produced by M2 or its affiliates.

  • Services – Collectively refers to consulting, creative production, advertising management, AI-driven tools, web development, SEO, reporting, and any other offerings by M2.


2. Scope of Services

M2 provides full-stack marketing and technology solutions, including but not limited to:

  • Digital Marketing – Paid ads on Google, Meta, LinkedIn, TikTok, and other networks.

  • Social Media – Organic posting, creative planning, photography, videography, and growth strategies.

  • Search Engine Optimization (SEO) – On-page, off-page, technical SEO, and local SEO enhancements.

  • Website Services – UX design, hosting, content updates, and e-commerce setup.

  • Analytics & Reporting – Campaign performance reports, growth projections, KPI tracking.

  • AI-Powered Tools (via M2.ai) – Automated copywriting, blog generation, email campaigns, data insights, and chat-based marketing support.

  • Consulting & Training – Strategic guidance, brand development, and executive advisory.

M2 reserves the right to evolve or discontinue services in response to technology changes, platform policies, or client needs.

3. Service Delivery Terms

  • Client Cooperation: Clients must provide timely access to accounts, approvals, and required materials. Delays caused by client inaction are outside M2’s responsibility.

  • Platform Reliance: Many services depend on third-party systems (Google Ads, Meta, Shopify, etc.). M2 cannot guarantee uptime, algorithm performance, or future compatibility.

  • Timelines: Unless otherwise agreed, deliverables follow industry-standard turnaround times (24–72 hours for small tasks, 2–4 weeks for campaigns, longer for websites or branding).

  • Communication: Clients are expected to designate a point of contact. All approvals must be provided via email or portal submission.

4. Payment, Invoicing & Refunds

  • Invoicing: Standard invoicing is Net-15.

  • Late Fees: Unpaid balances may accrue interest at 5% per month.

  • Suspension of Services: Accounts over 30 days past due may be paused or terminated.

  • Non-Refundable Charges: Sign-on fees, setup charges, software subscriptions, and deposits are not refundable.

  • Refund Considerations: Refunds are evaluated only in cases of billing error or breach by M2. Marketing performance results (ad clicks, conversions, revenue impact) are not guaranteed and are not grounds for refund.

  • Subscription Services: Cancellation of M2.ai or The Marketing Co. subscriptions requires 30 days’ notice. Clients remain responsible for charges accrued during the notice period.

5. Intellectual Property & Portfolio Rights

  • Joint Content Ownership: All deliverables created during an engagement are considered jointly owned by the Client and M2, unless otherwise negotiated. Both may use materials for positive business purposes.

  • Portfolio Use: M2 reserves the right to feature campaigns, logos, creative work, or anonymized performance data in portfolios, case studies, and promotional materials.

  • Client-Provided Materials: Clients are responsible for ensuring they hold necessary rights to any content provided. M2 disclaims liability for unauthorized third-party material supplied by Clients.

  • Software Output: AI-generated content from M2.ai is licensed to Clients for unlimited commercial use, but Clients acknowledge such content may require editing for accuracy, compliance, or tone.

6. Use of AI Tools (M2.ai)

  • Disclaimer: AI outputs are machine-generated. M2 cannot guarantee originality, accuracy, or compliance with industry-specific regulations (e.g., financial, medical, legal).

  • Review Requirement: Clients are required to review all AI outputs before publishing or distributing.

  • Training Data: M2.ai does not store client proprietary content beyond what is necessary for service delivery.

  • Improvement: Usage data may be aggregated anonymously to improve AI performance.

  • Prohibited Uses: Clients may not use M2.ai to generate harmful, defamatory, discriminatory, or illegal content.

7. Limitations of Liability

  • No Guarantee of Results: Marketing outcomes are subject to market conditions, competitor actions, and third-party platform changes.

  • Indirect Damages: M2 is not liable for loss of profits, revenue, goodwill, or data.

  • Cap on Liability: Total liability in any dispute will not exceed fees paid by Client in the three months preceding the claim.

  • Third-Party Failures: M2 disclaims responsibility for outages, errors, or damages arising from third-party vendors, hosting providers, or ad platforms.

8. Indemnification

Clients agree to indemnify and hold harmless M2, its employees, affiliates, and contractors against claims, damages, and costs resulting from:

  • Client misuse of services or AI outputs.

  • Client’s violation of laws or third-party rights.

  • Client-supplied materials that infringe copyrights or trademarks.

9. Confidentiality

Both parties agree to treat proprietary data, trade secrets, and campaign strategies as confidential. Exceptions apply if disclosure is legally required or if information becomes publicly available without fault.

10. Dispute Resolution

  • Good Faith Resolution: Parties agree to attempt informal resolution before escalating disputes.

  • Arbitration: Any unresolved disputes shall be settled by binding arbitration in Clark County, Nevada.

  • Legal Costs: Each party is responsible for its own legal fees unless otherwise awarded.

11. Governing Law

This agreement is governed by the laws of the State of Nevada, with exclusive jurisdiction in Clark County.

12. Modifications

M2 reserves the right to update these Terms periodically. Updates will be posted on our websites. Continued use of services constitutes acceptance of revised Terms.

13. Additional Provisions

  • Force Majeure: M2 is not responsible for delays caused by events beyond its control (natural disasters, strikes, pandemics, etc.).

  • Non-Solicitation: Clients agree not to directly hire M2 employees or contractors without written consent for at least 12 months following termination.

  • Severability: If any provision is deemed unenforceable, the remainder shall remain valid.

  • Entire Agreement: These Terms, combined with any signed agreements, constitute the full agreement between M2 and the Client.
